Welcome to RepUp LTD. These terms and conditions outline the rules and regulations for the use of RepUp’s website and services. By accessing this website and using our services, you agree to be bound by these terms and conditions. If you do not accept these terms, you must immediately stop using our services.


2. License and Intellectual Property

Unless otherwise stated, RepUp LTD owns the intellectual property rights for all material on RepUp. All intellectual property rights are reserved. Users may access and use the services for personal or business purposes, but they may not republish, sell, rent, sublicense, reproduce, duplicate, copy, or redistribute content from RepUp without prior written permission.

4. Handling of Sales Call Data

RepUp provides a platform for users to upload and analyze sales call recordings for internal coaching and performance improvement. These calls can be uploaded independently by the user or recorded using the official RepUp Chrome extension.

4.1 Data Storage and Compliance

  • All uploaded sales call recordings are securely stored on EU-compliant servers located in Europe to ensure compliance with GDPR and other applicable European data protection regulations.

  • Data handling and storage processes follow strict security protocols to prevent unauthorized access, modification, or loss of data.

  • RepUp does not share, sell, or distribute sales call recordings to third parties unless legally required to do so.

4.2 Legality of Recording Sales Calls

  • Sales representatives using RepUp’s platform may record sales calls solely for internal coaching and training purposes.

  • In many jurisdictions, including Italy and the EU, recording a conversation requires at least one-party consent, meaning the sales representative may record the call without informing the other party as long as they are an active participant in the call.

  • However, specific laws vary by country, and users are responsible for ensuring compliance with their local regulations regarding call recording disclosure.

  • RepUp assumes no responsibility for the misuse of call recordings or failure to comply with local legal obligations.


5. User Accounts

5.1 Registration

  • Users may be required to create an account to access certain features.

  • You must provide accurate and complete information and keep your account details updated.

  • You are responsible for maintaining the confidentiality of your login credentials.

5.2 Brand Removal Clause

  • Merchants who wish to remove the RepUp branding from the chat interface must make a formal request.

  • Brand removal is considered an additional service and incurs an extra charge.

  • This feature is not automatically included in any existing plans and must be separately agreed upon.

5.3 Termination

  • RepUp reserves the right to suspend or terminate user accounts at its sole discretion, without prior notice, for violations of these terms or misuse of the platform.


6. Payment and Refunds

6.1 Payment Terms

  • Users are responsible for all fees and charges associated with accessing RepUp services.

  • Payments must be made in accordance with the agreed pricing structure.

6.2 No Refunds Policy

  • All services rendered by RepUp are non-refundable.

  • Users can cancel their subscription at any time, but no refunds will be issued for unused portions of the service.

  • If a user has not accessed the service within the first 14 days of the subscription and has not used any credits or exclusive content, they may request a refund, subject to approval by RepUp.


7. Limitation of Liability

  • RepUp, its directors, employees, partners, agents, suppliers, or affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

  • We assume no responsibility for loss of profits, service interruptions, computer damage, data loss, or any system failures resulting from the use of our platform.

  • RepUp provides services on an “as-is” basis and does not guarantee uninterrupted access or error-free functionality.


8. Changes to the Terms & Conditions

  • RepUp reserves the right to update or modify these terms at any time.

  • If significant changes occur, users will be notified at least 30 days in advance.

  • Continued use of the services after modifications indicate acceptance of the new terms.


9. Links to Third-Party Sites

  • Our service may contain links to third-party websites or services.

  • RepUp has no control over and assumes no responsibility for the content, privacy policies, or practices of any third-party sites.

  • Users access external links at their own risk.


10. Governing Law

  • These terms shall be governed and construed in accordance with the laws of the United Kingdom.

  • Any disputes arising from these terms shall be resolved in UK courts.
